1. Information About Us
1.1 www.domainewines.sg is a site operated and owned by Domaine Wines Pte Ltd (‘Domaine Wines’ or ‘We’ or ‘Us’). We are registered in Singapore and with our registered office at 24 Sin Ming Lane #04-97, Singapore 573970.
2. Definition
2.1 “you”, “user”, “member”, and “guest” means anyone who visits and/or uses the Website.
2.2 “We” and “Us” means Domaine Wines Pte Ltd.
2.3 “third party” means any agent or contractor of Domaine Wines, or of any of its related entities, and any person engaged by any of them, in the creation, provision or maintenance of the Website or in the fulfilment of Orders (defined below) made through the Website, and includes any of them.
2.3 “Orders” means the offers made by you in response to an invitation to treat trade made by Domaine Wines via the Website, to purchase Goods at the specified price, subject to these Terms, and “Order” means any one of them.
3. Your Status
3.1 By placing an order through our site, you warrant that:
3.1.1 You are legally capable of entering into binding contracts;
3.1.2 You are resident in the Serviced Country.
4. Legal Capacity
4.1 You must be eighteen (18) years of age or above to register and apply for a membership account under the Website or purchase the Goods from the Website.
4.2 Any Order and/or purchase made by you using this Website is an ackowledgement by you that:
4.2.1 You are over the age of eighteen (18) years
4.2.2 You accept and are bound by these Terms
4.2.3 You agree that you have entered into a legal contract with Domaine Wines for use of the Website under these Terms
4.2.4 these Terms, together with your Order, constitute the entire agreement between you and Domaine Wines for the supply of the Goods.
4.3 Domaine Wines reserves the right to take legal action and seek compensation from the parent or guardian of a minor who causes an Order to be placed, for any loss or damage of any kind Domaine Wines may suffer as a result of a transaction entered into by a minor.
5. Order
5.1 You make an offer via the Website to purchase Goods at the price advertised on the Website when you:
5.1.1 first, selecting from the Website your choice of Goods to be placed in your intended Order
5.1.2 secondly, confirming the details of your selected Goods in accordance with the procedure on the Website.
5.1.3 finally, paying in full (plus any applicable delivery and handling charges) your selected Goods in accordance with the manner of payment described in the Website
5.2 Subject to actual stock availability, item orders may be replaced with alternatives subjected to a verbal or written confirmation with you. For items that cannot be replaced, we will contact you to give you the option to cancel. If payment has been made, you will be refunded the amount paid.
5.3 All orders placed online will be fulfilled within 5 business days unless otherwise advised. Business days exclude Saturday, Sunday and Public Holidays.
5.4 You are obliged to make payment in full by the payment option you select when you check out your orders.
6. Our Status
6.1 We may provide links on our site to the websites of other companies, whether affiliated with us or not. We cannot give any undertaking that the products you purchase from companies to whose website we have provided a link will be of satisfactory quality.
7. Price and Payment
7.1 All prices shown are in Singapore Dollars.
7.2 Our site contains a large number of Products and it is always possible that, despite our best efforts, some of the Products listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a Product’s correct price is incorrect, Domaine Wine’s reserves the right to charge the correct price. Where the stated price is lower than the correct price, it is in Domaine Wine’s sole discretion to honour the lower (incorrect) price or contact you for instructions before dispatching the Product, or reject your order and notify you of such rejection.
7.3 We are under no obligation to provide the Product to you at the incorrect (lower) price even after we have provided you with an email confirmation.
7.4 Prices stated in the website does not include delivery, handling charges, and insurance.
7.5 Domaine Wines reserve the right to correct any errors published on the website at any time.
8. Our Return and Refund Policy
8.1 Goods sold are not returnable. We also do not accept exchanges of one product or item with another after shipment has been made. Domaine Wines will not provide you with a refund or exchange simply because you changed your mind.
8.2 Should products be faulty (‘corked’), Domaine Wines reserves the right to replace the product, or with a product of similar value at its sole and absolute discretion.
8.3 A claim by you that the quantity of the Products delivered falls short of the quantity ordered shall be notified to us within 3 days from the date of delivery. If you do not notify us accordingly, we shall have no liability in respect of such shortfall and you shall be bound to pay the price as if the Products had been delivered in accordance with the Contract.
8.4 The cost of return transportation is at your expense.
9. Delivery Policies
9.1 Domaine Wines does not deliver to the following areas of Singapore: Central Business District (‘CBD’), Taman Jurong, Tuas, Jurong Island, unless otherwise stated or agreed. Should you require a delivery to these areas, please contact Domaine Wines at wine@domainewines.sg
9.2 The delivery address cannot be a freight forwarding location. Deliveries cannot be made to P.O. Boxes and any other location where it is prohibited by law or regulations to effect such deliveries and such other locations which Domaine Wines may name from time to time.
9.3 If you order large or bulky items, we will contact you by telephone or email to arrange with you a suitable time for delivery.
9.4 If you wish to change the delivery date or delivery address you must contact us within 24 hours after confirmation of your Order at wine@domainewines.sg.
9.5 You shall ensure that you or your representative is present at your designated address on the delivery date to receive the Goods. Domaine Wines or its delivery agent is under no duty to enquire or ensure that the person receiving the Goods at your designated address is you or your representative. If at the time of delivery, there is no person to receive the Goods at the designated address, Domaine Wines will charge you and you shall be liable for all costs incurred in storage, transport and re-delivery of the Goods.
10. Disclaimer and Indemnity
10.1 To the fullest extent permitted by law (and without limitation to any other provision of these Terms), you hereby agree to exclude Domaine Wines, and each of its related entities, from any and all liability to you or anyone else for any and all loss or damage of any kind (however caused or arising) relating in any way to the website (or any Goods purchased on the website) including, but not limited to, loss or damage you might suffer as a result of:
10.1.1 errors, mistakes or inaccuracies on the website.
10.1.2 you acting, or failing to act, on any information contained on or referred to on the website and/or any linked website.
10.1.3 personal injury or damages of any kind resulting from your access or use of the website and our products.
10.1.4 any unauthorised access to or use of the websites secure servers. 9.1.5 any interruption or cessation of transmission to or from the website.
10.1.6 any bugs, viruses, trojan horses or other harmful code or communications which may be transmitted to or through the website by any third party.
10.1.7 the quality or fitness for any purpose of any linked sites.
10.2 Except as expressly stated in these Terms, we do not give any representation, warranties or undertakings in relation to the Goods on the Website. Any representation, condition or warranty which might be incorporated into these Terms by statute, common law, the law of equity or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that any Goods are suitable for your purposes.
11. Notices
11.1 All notices given by you to Domaine Wines must be given to Domaine Wines at 24 Sin Ming Lane #04-97, Singapore 573970. We may give notice to you either via an e-mail or postal address that you provided to us when placing an order.
12. Events Outside our Control
12.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a Contract that is caused by events outside our reasonable control (“Force Majeure Event”).
12.2 A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
12.2.1 strikes, lock-outs or other industrial action;
12.2.2 civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
12.2.3 fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
12.2.4 impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
12.2.5 impossibility of the use of public or private telecommunications networks; or
12.2.6 the acts, decrees, legislation, regulations or restrictions of any government.
12.3 Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.
13. Waiver
13.1 If we fail, at any time during the term of a Contract, to insist upon the strict performance of any of your obligations under the Contract or any of these Terms and Conditions, or if we fail to exercise any of the rights or remedies to which we are entitled under the Contract, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations.
13.2 A waiver by us of any default shall not constitute a waiver of any subsequent default.
13.3 No waiver by us of any of these Terms and Conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.
14. Severability
14.1 If any of these Terms and Conditions or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
15. Entire Agreement
15.1 These Terms and Conditions and any document expressly referred to in them represent the entire agreement between us in relation to the subject matter of any Contract and supersede any prior agreement, understanding or arrangement between us, whether oral or in writing.
15.2 We each acknowledge that, in entering into a Contract, neither of us has relied on any representation, undertaking or promise given by the other and that nothing may be implied from anything said or written in negotiations between us prior to such Contract except as expressly stated in these Terms and Conditions.
15.3 Neither of us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date of any Contract (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these Terms and Conditions.
16. Our Right to Vary these Terms and Conditions
16.1 Domaine Wines have the right to revise and amend these Terms and Conditions from time to time without notice.
16.2 Domaine Wines may terminate your access to this Website at any time without notice. Your continued use of the Website following any amendment of these Terms shall be deemed an agreement by you to be bound by these Terms as amended. We recommend you review these Terms for amendments each time you use the Website and before confirming an Order. Whilst we are under no obligation to do so, should we choose to provide you with notice of amended Terms, you agree to receive email notification of the amendments from Domaine Wines.
16.3 You will be subject to the Policies and Terms and Conditions in force at the time that you order Products from us, unless any change to those Policies or these Terms and Conditions is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you), or if we notify you of the change to those Policies or these Terms and Conditions before we provide you with the Dispatch Confirmation (in which case we have the right to assume that you have accepted the change to the Terms and Conditions, unless you notify us to the contrary within seven working days of receipt by you of the Products).
17. Law and Jurisdiction
17.1 Contracts for the purchase of Products through our site will be governed by the Law of Singapore. Any dispute arising from, or related to, such Contracts shall be subject to the non-exclusive jurisdiction of the Courts of The Republic of Singapore.
17.2 Notwithstanding the generality of the foregoing, we shall be entitled to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.
